These Terms and Conditions (“Terms”) govern your access to and use of this website (the “Site”) and any purchase of products from Aloha Aminos (“Aloha Aminos,” “Company,” “we,” “us,” “our”). By using the Site and/or placing an order, you agree to these Terms. If you do not agree, do not use the Site or purchase products.
1) IMPORTANT NOTICE: RESEARCH USE ONLY (RUO) / NO HUMAN USE
All products sold by Aloha Aminos are intended solely for laboratory research and development purposes by qualified professionals in controlled laboratory settings. Products are NOT for human or veterinary use or consumption. Product form does not imply intended use (including, without limitation, capsules, liquids, suspensions, raw powders, and lyophilized materials). You agree not to use, direct others to use, or market/resell products for any prohibited purpose.
2) ELIGIBILITY AND BUYER REPRESENTATIONS
By placing an order, you represent and warrant that:
(a) you are a qualified researcher, laboratory, institution, or similarly trained professional purchasing for lawful research and development purposes;
(b) you will use products only for lawful RUO purposes in controlled laboratory settings;
(c) you have reviewed and agree to our RUO Disclaimer and Shipping & Returns Policy (each incorporated into these Terms by reference);
(d) you are responsible for determining product legality in your jurisdiction (including purchase, possession, use, import, and export);
(e) you will comply with all applicable laws, regulations, and institutional requirements.
3) REGULATORY COMPLIANCE, EXPORT CONTROLS, AND SANCTIONS
You are solely responsible for compliance with all applicable laws and regulations, including but not limited to import/export laws, export controls, and sanctions restrictions. We may refuse, cancel, or limit orders in our sole discretion if we believe an order may violate any law, regulation, carrier policy, payment processor requirement, or these Terms.
4) PRODUCTS, INFORMATION, AND DOCUMENTATION
Product descriptions, images, and documentation are provided for informational and research recordkeeping purposes only. Certificates of Analysis (COAs) and supporting documentation are made available to support verification and research recordkeeping. We do not guarantee that Site content is error-free, complete, or current. We reserve the right to correct any errors or omissions (including after an order is submitted).
5) PRICING, AVAILABILITY, AND ORDER ACCEPTANCE
All prices are listed in USD unless otherwise stated. Product availability is not guaranteed. Your order is an offer to purchase; we may accept or reject any order in our sole discretion. We may:
– limit quantities;
– require additional verification;
– cancel orders due to suspected fraud, misuse, policy violations, pricing errors, or inventory issues;
– refuse service to anyone at any time as permitted by law.
If we cancel an order after payment, we will issue a refund to the original payment method where applicable.
6) PAYMENT, FRAUD PREVENTION, AND CHARGEBACKS
We reserve the right to use fraud-prevention measures, including address verification and additional identity/payment verification. If we believe an order is high-risk, we may place it on hold, request verification, or cancel it.
Chargebacks and Payment Disputes:
If you initiate a chargeback or payment dispute without first contacting us at info@aloha-aminos.com to attempt resolution, we may:
(a) suspend or cancel your account and any pending orders;
(b) refuse future orders;
(c) provide documentation to the payment processor supporting order fulfillment and policy compliance;
(d) recover any fees, costs, or losses we incur due to the chargeback to the extent permitted by law.
7) SHIPPING; RISK OF LOSS; DELIVERY ISSUES
Shipping options and rates are shown at checkout. Processing timeframes are described in our Shipping & Returns Policy. Once an order is transferred to the carrier, delivery timing and handling are outside our control.
Risk of Loss:
Title to and risk of loss pass to you upon delivery of the order to the carrier, except where prohibited by law.
Delivery Issues:
If a package is delayed, lost, or marked delivered but not received, you agree to cooperate with reasonable steps required to assist with a carrier investigation or claim (including providing delivery location details and any documentation we request).
8) ADDRESS ACCURACY
You are responsible for providing accurate shipping information. If an order is returned due to an incorrect or incomplete address, reshipping costs may apply. We do not guarantee address changes once an order has been processed or shipped.
9) RETURNS, REFUNDS, AND CLAIMS
Returns, refunds, replacements, and claim procedures are governed by our Shipping & Returns Policy, incorporated into these Terms by reference. Due to product integrity and handling controls, opened or used products are not eligible for return. We reserve the right to refuse any return/refund request where misuse, mishandling, fraud, or policy violations are suspected.
10) PROHIBITED CONDUCT
You agree not to:
– use products for any human or veterinary purpose, including consumption, injection, inhalation, topical application, diagnostic, therapeutic, or clinical use;
– repackage, relabel, resell, or market products for prohibited purposes;
– violate any law or regulation in connection with your purchase or use;
– interfere with the Site’s security or functionality (including scraping, hacking, or introducing malware);
– misrepresent your identity, qualifications, or intent.
11) INTELLECTUAL PROPERTY
All Site content (text, graphics, logos, images, layout, design, and code) is owned by or licensed to Aloha Aminos and protected by intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works without our prior written permission.
12) THIRD-PARTY LINKS AND SERVICES
The Site may contain links to third-party sites or services. We are not responsible for third-party content, policies, or practices. Access to third-party sites is at your own risk.
13) DISCLAIMER OF WARRANTIES
TO THE FULLEST EXTENT PERMITTED BY LAW, ALL PRODUCTS AND SITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.
14) LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, ALOHA AMINOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM OR RELATED TO THE SITE OR ANY PRODUCTS, INCLUDING MISUSE OR UNLAWFUL USE.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO A PRODUCT, ORDER, OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT(S) GIVING RISE TO THE CLAIM.
15) INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Aloha Aminos, its owners, officers, employees, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorney fees) arising out of or related to:
(a) your misuse or unlawful use of products;
(b) your breach of these Terms or any incorporated policy;
(c) your repackaging, relabeling, resale, or marketing for prohibited purposes;
(d) your violation of any law or regulation.
16) RIGHT TO REFUSE SERVICE; ORDER LIMITS
We reserve the right to refuse service, cancel orders, limit quantities, restrict accounts, and require additional verification at any time for any lawful reason, including suspected misuse, fraud risk, policy violations, or payment processor requirements.
17) ELECTRONIC COMMUNICATIONS
By using the Site or emailing us, you consent to receive communications electronically. Electronic communications satisfy any legal requirement that such communications be in writing.
18) FORCE MAJEURE
We are not liable for delays or failures caused by events beyond our reasonable control, including carrier delays, supply disruptions, natural disasters, power outages, internet failures, labor actions, or governmental actions.
19) GOVERNING LAW
These Terms are governed by the laws of the State of Hawaii, without regard to conflict-of-law principles.
20) DISPUTE RESOLUTION; VENUE
Before filing any claim, you agree to first contact us at info@aloha-aminos.com and provide a reasonable opportunity to resolve the issue.
To the fullest extent permitted by law, any dispute arising out of or relating to these Terms, the Site, or any order shall be brought in the state or federal courts located in the State of Hawaii, and you consent to the personal jurisdiction of those courts.
21) SEVERABILITY
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
22) WAIVER
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
23) ASSIGNMENT
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, or sale of assets.
24) ENTIRE AGREEMENT
These Terms, together with our RUO Disclaimer, Shipping & Returns Policy, Privacy Policy, and any other policies posted on the Site, constitute the entire agreement between you and Aloha Aminos regarding your use of the Site and purchases.
