1. About the Program

The Aloha Aminos Partner Program (the “Program”) lets approved partners earn commission by referring customers to aloha-aminos.com with a unique discount code. These Partner Program Terms of Use (“Terms”) are an agreement between Aloha Aminos LLC, a Hawaii limited liability company with its mailing address at 95-390 Kuahelani Ave, Ste 3AC PMB 162, Mililani, HI 96789 (“Aloha Aminos,” “Company,” “we,” “us,” or “our”), and you (“Partner,” “Affiliate,” or “you”).

By applying to or taking part in the Program, you agree to these Terms. Our Terms and Conditions and RUO Disclaimer also apply to your use of the site.

2. Eligibility

To join the Program, you must:

• be at least 18 years old, or the age of majority where you live if that is higher;
• live or operate in the United States;
• apply through our Partner Registration page.

We review every application and may approve or decline it at our discretion, based on factors such as your promotion methods, audience and compliance history. We may ask for more information or documents to confirm your eligibility. If you do not provide them promptly, we may decline your application or end your participation.

3. Commissions

Partners earn up to 15% commission on qualifying orders. Your commission rate is shown in your partner dashboard.

Commission is calculated on the order total after discounts, excluding shipping, taxes (including Hawaii general excise tax) and any other fees.

A qualifying order is a completed order where your partner code was applied at checkout. Orders placed without your code, or where your code was removed or replaced, do not qualify.

There is no limit on repeat purchases. You can earn commission on every qualifying order, including from returning customers, as long as your code is used.

4. How Referrals Are Tracked

Referrals are tracked by the unique discount code assigned to you. The customer must apply your code at checkout for you to receive credit.

If we also give you a referral link, a referral is recorded when a customer clicks it and completes a purchase within 30 days. Link tracking depends on the customer’s browser, so we are not responsible for referrals that are not recorded because of cleared cookies, blocked tracking or similar issues.

We do not owe commission on referrals where your code (or link, if provided) was not used, whatever contact you had with the customer before.

5. Personal-Use Code and Self-Referrals

We may give you a separate personal-use code with a larger discount for your own purchases. Orders placed with a personal-use code do not earn commission.

You may not earn commission on your own purchases. Sharing your personal-use code, or trying to earn commission on your own orders through other accounts, other people or any other workaround, may lead to removal from the Program and loss of unpaid commission.

6. Payments

• When commission becomes payable: commission is held for 30 days after an order is marked completed, to allow for refunds and returns. After that, it is added to your payable balance.
• Requesting a payout: you can request a payout at any time once your payable balance reaches $20.00. Smaller balances roll over until they reach $20.00.
• Payment methods: store credit, or with our prior approval Venmo, PayPal, Cash App, Zelle or cash.
• Adjustments: we may adjust or withhold commission for up to 180 days after a sale because of refunds, chargebacks, fraud or a breach of these Terms. If a refund or chargeback happens after we have paid you, we may deduct it from future commission.
• Tax forms: we may ask for tax documents (such as a Form W-9) and identity verification before paying you. Payments may be delayed or forfeited if you do not provide them.

7. Taxes

You are responsible for any taxes owed on the commission you earn. We are not responsible for your tax obligations.

8. Promotion Guidelines

You agree to promote Aloha Aminos in a lawful, honest and professional way. In particular:

• Research use only. All of our products are sold for laboratory research use only and are not for human or veterinary use. You must not describe, suggest or imply any human or veterinary use, including dosing, injection, consumption, health, medical, weight-loss, performance or cosmetic benefits, and you must not share before-and-after content or personal-use stories.
• Accurate claims. You may only make statements about our products that match the information on our website, such as product names, purity results and Certificates of Analysis.
• Disclosure. You must clearly disclose your relationship with us in every promotion, as required by law (including the U.S. Federal Trade Commission’s endorsement guidelines).
• Materials. Use only promotional materials we provide or approve in writing.
• Trademarks. You may use the Aloha Aminos name and logo only to promote us under these Terms. You may not use them in domain names or social media handles.
• Other brands. You may promote other companies’ products, as long as you do not misrepresent ours or break these Terms.

9. Prohibited Actions

You must not:

• send spam or unsolicited messages, or break any anti-spam or privacy law (including the CAN-SPAM Act);
• use false, misleading or deceptive advertising;
• run paid search or social media ads that target “Aloha Aminos” or similar brand terms without our prior written approval;
• post our codes or discounts on coupon or deal sites without our prior written approval;
• promote us on sites or channels with illegal, offensive or adult content;
• use malware, adware, bots, scripts or incentivized or fraudulent clicks to generate traffic or orders;
• do anything else that breaks applicable laws or regulations.

Breaking these rules may lead to removal from the Program, loss of commission and possible legal action.

10. Data Privacy

If you handle anyone’s personal information as part of the Program, you must follow the privacy laws that apply to you. You are responsible for your own compliance.

11. Partner Dashboard

You will have access to a partner dashboard to track referrals, commission and payouts. We aim to keep it accurate but are not responsible for delays or errors caused by technical issues. Our records are final if there is a disagreement about tracking.

12. Term and Termination

These Terms start when we accept you into the Program and continue until either of us ends them.

• By you: with 30 days’ written notice to info@aloha-aminos.com.
• By us: at any time, with or without reason, including for a breach of these Terms, suspected fraud or a risk to our reputation.
• Inactivity: if you have no qualifying orders for 6 months, we may end your participation.

When your participation ends, you must stop using your codes, links and our promotional materials right away. Balances under $20.00 will not be paid, unless we end the Program entirely or remove you without cause, in which case we will pay valid commission after review. We may change or end the Program at any time by notifying you by email or on our website, and we will pay commission earned up to that date.

13. Your Responsibilities

You agree to keep the information you give us accurate and up to date. You confirm that you have the authority to agree to these Terms and that you will follow all applicable laws while taking part in the Program.

14. Intellectual Property

Aloha Aminos owns all rights in its name, logo, website content, product images, documentation and other materials. We give you a limited, non-exclusive, non-transferable and revocable license to use the materials we provide only to promote Aloha Aminos under these Terms, for as long as you are in the Program.

15. Indemnification

You agree to defend, indemnify and hold harmless Aloha Aminos LLC and its owners, officers, employees and agents from any claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your promotional content, your negligence or willful misconduct, or your violation of any law.

16. No Guarantee of Results

We do not promise that you will earn any particular amount from the Program. Results depend on many factors outside our control.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ALOHA AMINOS LLC WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, DATA, GOODWILL OR REPUTATION, OR FOR ANY FINES OR PENALTIES IMPOSED ON YOU, ARISING FROM OR RELATED TO THESE TERMS OR THE PROGRAM, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU WILL NOT EXCEED THE COMMISSION WE PAID YOU IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

18. Force Majeure

Neither of us is responsible for delays or failures caused by events beyond reasonable control, such as natural disasters, carrier or payment-processor outages, or technical failures, as long as we notify each other promptly.

19. Independent Relationship

You are an independent partner, not our employee, agent, franchisee or legal partner, and you may not make commitments on our behalf. This is a non-exclusive arrangement, and both of us are free to work with others.

20. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition or sale of assets.

21. Governing Law

These Terms are governed by the laws of the State of Hawaii, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Program will be brought in the state or federal courts located in the State of Hawaii.

22. Changes to These Terms

We may update these Terms from time to time by posting the new version on this page or emailing you. The “Last Updated” date at the top shows when they were last revised. Continuing in the Program after an update means you accept the updated Terms.
